Course Agreement & Terms and Conditions

Please read these Terms and Conditions carefully before purchasing, accessing, or using any online courses, content, or services (collectively, “Courses”) offered by Kiwi Visa Hub – a part of Mymate Limited, a limited company incorporated in New Zealand having NZBN: 9429052964442(“we,” “us,” or “our”).

By purchasing, accessing, or using our Courses, you (“Student,” “you,” or “your”) agree to be bound by these Terms and Conditions. If you do not agree to these Terms and Conditions, you must not purchase, access, or use our Courses.

  1. Definitions
  • “Courses”: Refers to all online courses, modules, lessons, content, materials (including but not limited to videos, audio, text, documents, templates, worksheets, and presentations), and any related services, support, or community access provided by Kiwi Visa Hub.
  • “Student” / “You”: Refers to any individual who purchases, accesses, or uses our Courses.
  • “Website”: Refers to https://www.kiwivisahub.co.nz where the Courses are hosted or promoted.
  • “Intellectual Property Rights”: Means all intellectual property rights, including copyright, trademarks, design rights, patents, and any other rights of a similar nature, whether registered or unregistered, existing anywhere in the world.
  1. Course Access and Usage

2.1 Grant of Access

Upon successful payment for a Course, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the purchased Course content for your personal, non-commercial use only, for the duration specified at the time of purchase.

2.2 Duration of Access

The duration of access to a Course will be clearly stated on the Course sales page at the time of purchase. Unless otherwise specified, access is typically for the specific course duration. “Lifetime access” if applicable refers to the lifetime of the Course product, not your lifetime, and may be subject to our continued operation of the business and the availability of the Course.

2.3 Technical Requirements

You are responsible for ensuring you have the necessary hardware, software, and internet access to view and participate in the Courses. We are not responsible for any technical issues on your end.

2.4 Prohibited Use

You agree not to:

  • Share, sell, rent, lease, sublicense, distribute, or otherwise transfer your access to any Course or Course content to any third party.
  • Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Courses or Course content for any commercial purpose without our express written permission.
  • Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Courses.
  • Use the Courses for any unlawful purpose or in any way that violates these Terms and Conditions.
  • Interfere with or disrupt the integrity or performance of the Courses or the Website.
  1. Intellectual Property

3.1 Ownership

All Courses and Course content, including all Intellectual Property Rights therein, are and will remain the exclusive property of Kiwi Visa Hub or its licensors. You acknowledge and agree that you do not acquire any ownership rights by using the Courses.

3.2 Restrictions

You are strictly prohibited from:

  • Recording, downloading, copying, or distributing any video or audio content from the Courses unless explicitly permitted for download within the Course.
  • Using any Course content to create your own courses, training materials, or products for commercial sale or distribution.
  • Using our trademarks, logos, or other proprietary graphics without our prior written consent.
  1. Payment and Refunds

4.1 Pricing and Payment

All prices for Courses are listed in United States Dollars (USD) unless otherwise stated and are exclusive of GST where applicable. Payment must be made in full at the time of purchase, or according to any agreed payment plan. We reserve the right to change prices at any time, but price changes will not affect Courses already purchased.

4.2 Refund Policy

Our refund policy is as follows:

  • No Refunds: Due to the digital nature of our Courses and immediate access to content, all sales are final, and no refunds will be issued once a Course has been purchased and access granted.
  • Conditional Refund: Refunds may be considered on a case-by-case basis if you can demonstrate a significant technical issue preventing access that we are unable to resolve.
  • Any refunds, if applicable, will be processed within 14 business days to the original payment method.
  1. Nature of Courses and Disclaimer of Accreditation

The Courses provided by Kiwi Visa Hub are designed for informal learning, upskilling, and personal development purposes only.

The Courses do not lead to any formal qualifications, certifications, diplomas, or degrees recognised by the New Zealand Qualifications Authority (NZQA) or any other educational or governmental body. Completion of our Courses does not confer any academic credit or professional licensure.

You acknowledge and agree that the Courses are not a substitute for formal education or professional advice, and any reliance on the information provided is at your own risk.

  1. Disclaimer of Warranties

The Courses are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course outcomes.

We do not warrant that:

  • The Courses will meet your specific requirements or expectations.
  • The Courses will be uninterrupted, timely, secure, or error-free.
  • The results that may be obtained from the use of the Courses will be accurate or reliable.
  • The quality of any products, services, information, or other material purchased or obtained by you through the Courses will meet your expectations.

You acknowledge that any reliance on the information provided in the Courses is at your own risk. The Courses are for educational and informational purposes only and do not constitute professional advice.

  1. Limitation of Liability

To the maximum extent permitted by New Zealand law, Kiwi Visa Hub, its directors, employees, partners, agents, suppliers, or affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Courses; (ii) any conduct or content of any third party on the Courses; (iii) any content obtained from the Courses; and (iv) unauthorised access, use or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence) or any other legal theory, whether or not we have been informed of the possibility of such damage, and even if a remedy set forth herein is found to have failed of its essential purpose.

Nothing in these Terms and Conditions is intended to limit or exclude any rights you may have under the Consumer Guarantees Act 1993 or the Fair-Trading Act 1986, which cannot be excluded or limited by agreement. Where these Acts apply, our liability is limited to the remedies provided by those Acts.

  1. Indemnification

You agree to defend, indemnify, and hold harmless Kiwi Visa Hub and its licensee and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees), resulting from or arising out of a) your use and access of the Courses, by you or any person using your account and password; b) a breach of these Terms, or c) content posted on the Courses.

  1. Termination

We may terminate or suspend your access to any or all Courses immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions. Upon termination, your right to use the Courses will immediately cease.

  1. Governing Law and Dispute Resolution

11.1 Governing Law

These Terms and Conditions shall be governed and construed in accordance with the laws of New Zealand, without regard to its conflict of law provisions.

11.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or in connection with these Terms and Conditions, or the breach, termination, or invalidity thereof, shall first be attempted to be resolved amicably through good faith negotiations between the parties. If a resolution cannot be reached, the parties agree to submit to the exclusive jurisdiction of the courts of New Zealand.

  1. General Provisions

12.1 Entire Agreement

These Terms and Conditions, together with any specific terms on the Course sales page and our Privacy Policy, constitute the entire agreement between you and Kiwi Visa Hub regarding your use of the Courses.

12.2 Severability

If any provision of these Terms and Conditions is held to be invalid or unenforceable by a court, the remaining provisions of these Terms and Conditions will remain in effect.

12.3 Waiver

No waiver of any term or condition set forth in these Terms and Conditions shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Kiwi Visa Hub to assert a right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.

12.4 Changes to Terms and Conditions

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will try to provide at least 30 days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Courses after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Courses.
